Terms of Service

1. Agreement to these terms

These terms are a contract between you — the merchant installing or using the PalSync app or palsync.com (“you”) — and the operator of PalSync (“PalSync”, “we”). By installing the app from the Shopify App Store or using the service you accept them. If you use PalSync for a business, you confirm you have authority to bind that business.

2. The service

PalSync synchronizes order tracking information from your Shopify store to your connected PayPal and Stripe accounts, including real-time sync on fulfillment, back-sync of orders up to 365 days old, courier name mapping with configurable rules, digital product sync, and PayPal dispute management tools. Features may evolve; we may add, change or retire functionality provided the service keeps materially delivering what you subscribed to.

3. No guaranteed outcomes on PayPal or Stripe

PalSync supplies verified tracking data; decisions remain PayPal’s and Stripe’s. Holds, rolling reserves, limitations, fund releases and dispute outcomes are decided solely by PayPal and Stripe under their own policies. While complete tracking records are the kind of signal those platforms reward, we do not and cannot promise that funds will be released, that holds or reserves will shrink, or that any dispute will resolve in your favor. Any statements on our site about faster releases describe typical merchant experience, not a guarantee.

4. Your account and responsibilities

You must operate a valid Shopify store and have the right to connect the PayPal and Stripe accounts you link.
You are responsible for the accuracy of the order and fulfillment data in your store — the sync pushes what your store records.
You must keep control of your Shopify, PayPal and Stripe accounts; connections can be revoked by you at any time from those platforms.

5. Fees, trial and billing

PalSync is billed through Shopify’s billing system on usage-based plans determined by the number of PayPal orders processed in each 30-day billing period, from $4.99 up to $149.99 for unlimited orders, as published on our pricing page. Every plan starts with a 7-day free trial; you can upgrade, downgrade or cancel at any time by changing plans or uninstalling the app. Charges appear on your Shopify invoice. Except where the law or Shopify’s refund rules require otherwise, fees for a started billing period are not refunded; you keep access for the period you paid for. Prices exclude any applicable taxes, which may be added by Shopify.

6. Acceptable use

Do not use PalSync to submit false, fabricated or misleading tracking information to any payment platform. The service exists to transmit genuine fulfillment data; abusing it to misrepresent shipments violates PayPal’s and Stripe’s rules and these terms, and leads to termination.
Do not use the service for unlawful activity, to infringe others’ rights, or to interfere with or overload the service.
Do not resell, sublicense, copy or reverse-engineer the service except where the law expressly permits it.

7. Third-party platforms

PalSync depends on Shopify, PayPal and Stripe APIs. Your use of those platforms is governed by their own terms and policies, and we are not responsible for their availability, decisions or changes to their APIs. PalSync is an independent application and is not affiliated with, endorsed by, or sponsored by PayPal, Stripe, or Shopify; their names and logos are trademarks of their respective owners, used only to identify the integrations.

8. Intellectual property

The PalSync software, site, brand and content are owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the app for your store while these terms are in force. You retain all rights to your store’s data.

9. Privacy

Our Privacy Policy describes what data we process and why, including our role as processor for your customers’ data and our handling of Shopify’s privacy webhooks.

10. Disclaimer of warranties

The service is provided “as is” and “as available”. To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted, error-free or that every order will sync (for example where a carrier is not recognized by PayPal or an API is unavailable); the app surfaces failed syncs so they can be retried.

11. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data — including losses arising from decisions made by PayPal, Stripe or Shopify. Our total liability for all claims in any 12-month period is limited to the fees you paid to PalSync in that period. Nothing in these terms excludes liability that cannot be excluded by law, such as for fraud.

12. Indemnity

You will indemnify us against claims arising from your store’s data, your breach of these terms (including submission of false tracking data), or your violation of a third-party platform’s rules.

13. Suspension and termination

You can stop using PalSync at any time by uninstalling the app; billing stops per Shopify’s billing rules and data is handled as described in the Privacy Policy. We may suspend or terminate the service for breach of these terms (in particular Section 6), for non-payment, or where a platform requires it. Sections 3 and 7–12 survive termination.

14. Changes to these terms

We may update these terms from time to time. Material changes will be announced in the app or by email and apply from the date stated; continuing to use the service after that date means you accept the updated terms.

15. Governing law

These terms are governed by the laws of the jurisdiction in which the PalSync operator is established, without regard to conflict-of-law rules, and disputes belong to the courts of that jurisdiction — except where mandatory consumer or local law gives you additional rights that cannot be waived.
